Terms of Service

These terms govern your use of hibiku as a guest buyer, seller, or visitor.

1. The service

Hibiku is a two-sided marketplace for sponsored posts on X (formerly Twitter). Sellers list an ad spot associated with an X account. Guest buyers submit ready-to-post copy and either reserve the list price or make an offer. Hibiku provides the marketplace and posting workflow; it does not endorse a buyer, seller, post, product, or claim.

X and Stripe are independent third parties with their own terms and policies. Hibiku is not affiliated with or endorsed by X or Stripe.

2. Eligibility and authority

You must be legally able to enter a binding agreement and use the Service in compliance with applicable law. If you act for a business or another person, you represent that you have authority to bind them. Sellers must control the X account they connect and must complete Stripe Express identity and payout requirements. Buyers use guest Stripe Checkout and do not need a hibiku account.

3. Seller connection and posting authority

A seller authorizes hibiku to access the connected X account with the scopes tweet.read, tweet.write, users.read, and offline.access. This lets hibiku identify the account, keep the connection available, and publish an accepted post as the seller. A seller may disconnect X, subject to completing any active booking.

Every sponsored post published through the Service is marked as an ad, including an “Ad” label or X's “Paid Partnership” disclosure where available. Sellers and buyers must also make any additional disclosures required by law, regulation, or platform policy.

4. Listings, offers, and bookings

A seller sets a list price and may receive lower offers. An offer is directed to that seller and remains associated with the seller until it is accepted, declined, expires, or is otherwise closed. Submitting an offer does not guarantee publication. A seller may have only one active booking at a time.

Sellers decide whether to accept eligible copy. Hibiku may reject, remove, pause, or cancel content or activity that violates these terms, third-party rules, or the integrity of the Service.

5. Card reserves, capture, and release

Checkout places a temporary authorization hold on the buyer's card using a Stripe PaymentIntent with manual capture. It does not charge the card at checkout. Card holds commonly last about seven days, but the issuer controls the exact duration and how the hold appears.

If the seller accepts, hibiku posts the disclosed ad and captures the authorized amount. If the seller declines, the authorization expires, or hibiku cancels before capture, hibiku cancels the uncaptured PaymentIntent so the hold can be released. That release is not a refund of a completed charge. The buyer's bank may take additional time to update the available balance.

6. Integrity watch, transfers, and payouts

After publication, the post enters a 24-hour integrity watch. Hibiku uses separate charges and transfers: the buyer's charge is processed on the platform, and eligible seller funds are transferred separately to the seller's Stripe Express account after the watch. Hibiku does not use destination charges for this flow.

A transfer becoming eligible is not the same as a bank payout. Stripe controls payout timing, reserves, verification, and availability. A seller's first Connect payout often takes 7–14 days and may take longer. Fees, adjustments, disputes, taxes, or a failure to satisfy Stripe requirements may reduce or delay funds.

7. Content rules and licenses

Buyers must have all rights needed for submitted copy, links, names, and claims. Content must be truthful and must not be unlawful, deceptive, infringing, harassing, hateful, malicious, or designed to manipulate a platform or audience. Restricted products and regulated claims must comply with all applicable advertising rules.

Buyers grant hibiku and the selected seller a limited license to review, format, label, transmit, publish, and retain submitted content as needed to provide, secure, and document the Service. Sellers grant hibiku the limited rights needed to display listing information and perform an accepted booking.

8. Cancellations, removals, and disputes

Before capture, an eligible booking may be declined or canceled and its card hold released. After capture and publication, reversal is not automatic. Hibiku may remove a post, suspend a transfer, or cooperate with Stripe, X, card networks, banks, and authorities when addressing fraud, chargebacks, legal requests, policy violations, or post integrity. Payment disputes are also subject to Stripe and card-network processes.

9. Taxes and compliance

Each user is responsible for their own taxes, records, licenses, advertising disclosures, and legal compliance. Hibiku may collect or report information where required by law. Sellers are independent participants and are not employees, agents, or partners of hibiku.

10. Availability and disclaimers

The Service is provided on an “as is” and “as available” basis to the extent permitted by law. Hibiku does not guarantee that a listing will receive offers, that a post will remain available or achieve a result, or that X, Stripe, an issuer, or a bank will complete an action on a particular schedule. Third-party outages and policy changes can affect the Service.

11. Liability

To the maximum extent permitted by law, hibiku will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, reputational harm, or third-party conduct arising from the Service. Nothing in these terms excludes liability that cannot legally be excluded. You are responsible for losses caused by your content, unlawful conduct, breach of these terms, or infringement of another person's rights.

12. Suspension, changes, and survival

Hibiku may restrict or end access to protect users, comply with law, enforce these terms, or operate the Service. These terms may change as the product or law changes. The effective date will be updated, and continued use after revised terms take effect means you accept them. Provisions that by their nature should survive termination—including payment, licenses, disclaimers, and liability provisions—will survive.
